Shibumi Compliance Portal Terms and Conditions
Please read and understand the terms of this Confidentiality Agreement (the “Agreement”). By clicking “Accept”, you agree to bind yourself and the legal entity listed in the submission form to the terms of this Agreement. If you do not accept the terms of this Agreement, you will not be able to access the documents, reports, and other confidential information found in the Shibumi Compliance Portal (the “Confidential Information”).
This Agreement is made between Shibumi.com, Inc, having a principal place of business as 50 Washington Street, Suite 302E, Norwalk CT, 06854, and yourself as well as the legal entity that you represent, as listed in the submission form (together “You”).
You agree that the documents, reports and other Confidential Information found in the Shibumi Compliance Portal is considered highly sensitive information that may include Shibumi intellectual property and/or trade secrets. You agree to hold the Confidential Information in strict confidence, and in any case using at least the same degree of care used to protect like proprietary information. You may only disclose the Confidential Information to employees and/or consultants on a need to know basis, and only to those who are under confidentiality requirements at least as protective as the terms of this Agreement. You may not disclose the Confidential Information to any third party without the express prior written consent of Shibumi. In the event You are required by law, regulation or court order to disclose any of the Confidential Information, You will notify Shibumi in writing prior to making any such disclosure in order to facilitate Shibumi seeking a protective order or other appropriate remedy from the appropriate body. The Confidential Information will remain the sole property of Shibumi.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without reference to its conflicts of laws provisions. This Agreement and the rights and obligations hereunder may not be assigned or delegated by either party, in whole or part, whether voluntarily, by operation of law, change of control or otherwise, without the prior written consent of the other party. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. The parties are independent contractors, and neither party shall have any authority of any kind to bind the other party in any respect whatsoever.
